Terms of service

These terms apply when you use Shaida MRR. By creating an account or using the site, you agree to them.

What Shaida is

Shaida is a marketplace where people list and buy small startups, with revenue verified from the seller's payment provider. We provide the listings, messaging, document tools and, soon, an escrow set-up. We are not a party to any sale, we are not a broker or an adviser, and we don't own or operate the startups listed.

Your account

Give accurate information, keep your sign-in safe, and tell us if you think your account was accessed by someone else. You are responsible for what happens under your account. You must be old enough to enter a binding contract where you live.

Listings and verification

Sellers must only list a business they own or are authorised to sell, and must connect a payment account they control. Verified figures come from the payment provider, but we don't guarantee they are complete, current or error-free, and a listing is not a recommendation to buy. Buyers must do their own due diligence.

Don't submit false information, manipulate revenue or payment data, or connect accounts you don't control. We may remove listings, or close accounts, that break these rules.

Deals and documents

The NDA, Letter of Intent and Asset Purchase Agreement tools generate drafts from the terms both parties enter. They are templates, not legal advice. Have a lawyer review them before relying on them. Signing in Shaida records the signer's name and the time, and the agreement is between the buyer and the seller, not Shaida.

Escrow and payments

Escrow.com payment handling is coming soon. Once it opens, payment for a sale goes through Escrow.com. Escrow.com holds the funds, runs its own identity checks and sets its own terms, which you must accept when you use it. Shaida never holds the buyer's money. Escrow.com can't send money to or take money from some countries, so a seller may need a bank account in a supported country.

Keep the whole payment inside the escrow. Don't ask or agree to pay outside it to avoid fees or protections, because you lose the protection of escrow and may lose your account.

Fees

Listing is free. When a sale closes through Shaida's escrow, we charge a closing fee, split between buyer and seller, and Escrow.com charges its own fee. The current rates are on the fees page. Fees are taken through the escrow transaction.

Conduct

Don't harass or threaten other users, spam them, scrape the site, interfere with how it works, or use it for anything unlawful. Report problems with the Report button.

Your content

You keep ownership of what you post. You give Shaida permission to host and show it so the service can work, for example showing your listing and verified figures to buyers.

Disclaimers and liability

Shaida is provided as is, without promises that it will be uninterrupted or error-free. We are not responsible for the outcome of a sale, for what is sold, or for what other users or Escrow.com do. To the fullest extent the law allows, Shaida's liability to you is limited to the fees you paid us in the 12 months before the claim.

Ending your account

You can delete your account at any time from your dashboard settings. We may suspend or close accounts that break these terms. Sections that should survive, such as liability and the rules on signed documents, continue afterwards.

Changes and contact

We may update these terms, and we will change the date at the top. Continuing to use Shaida means you accept the new version. Questions: see the support page.
